Terms & Conditions for Banter Marketo Digital Marketing Agency
Welcome to Banter Marketo! By accessing or using our services, you agree to be bound by the following terms and conditions (the “Terms”). If you do not agree to all of these Terms, please do not use our services.
General Terms
Engagement: Banter Marketo provides digital marketing services including, but not limited to, Web Design, SEO, PPC Campaigns, Social Media Management, and Content Creation. By engaging us, you (“Client”) enter into a contractual agreement with Banter Marketo (“Service Provider”), agreeing to these Terms.
Authorization
The Client authorizes Banter Marketo to access any necessary accounts for service fulfillment. This may include, but is not limited to, social media accounts, web hosting accounts, and Google Analytics.
Services Provided
Services are outlined in the individual proposal or invoice provided to the Client. Services may include digital marketing strategy, campaign management, content creation, and reporting.
Payment Terms
Payment terms are specified on the invoice. Full payment is required upfront unless otherwise agreed. For projects exceeding $1,500, a minimum of 50% deposit is required to commence work, with the balance due upon completion.
Client Responsibilities
The Client is responsible for providing all necessary content and information required for the Service Provider to complete the services. Failure to provide needed materials may result in delays.
Additional Services
Requests beyond the scope of the initial agreement will be subject to additional charges at our standard rate, negotiable based on the scope of work.
Monthly Services
For subscription-based services, payment is due in advance each month. Failure to pay on time may result in a suspension of services.
Client Amends & Revisions
Significant changes requested by the Client that exceed the scope of the agreement may incur additional charges.
Copyrights and Trademarks
The Client guarantees that any elements of text, graphics, photos, designs, trademarks, or other artwork provided to Banter Marketo for inclusion in the project are either owned by the Client or that the Client has permission to use them.
Third Party Modifications
If modifications by the Client or a third party compromise the integrity of the Service Provider’s work, repair will be billed at an hourly rate.
Subcontracting
Banter Marketo reserves the right to subcontract any services that we agree to perform for you as we see fit.
Limitation of Liability
Banter Marketo is not liable for any direct, indirect, incidental, special, or consequential damages resulting from the use of our services.
Indemnification
The Client agrees to indemnify, defend, and hold harmless Banter Marketo and its affiliates from any claims resulting from the Client’s use of our services.
Cancellation
Projects canceled by the Client after commencement may result in forfeiture of the deposit and possible billing for additional work completed beyond the deposit amount.
Completion Date
Banter Marketo and the Client will work together to complete the services in a timely manner. We agree to work expeditiously to complete the services by any agreed-upon deadline.
Ownership and Copyrights
Upon final payment, copyright of the completed web designs, graphics, content, and other visuals created by Banter Marketo for the project will transfer to the Client. However, Banter Marketo retains the right to use completed projects and any preliminary designs for the purpose of design competitions, future publications, educational purposes, and portfolio. Where applicable, the Client will be given any necessary credit for usage of the project elements.
Design Credit
The Client agrees that Banter Marketo may place a small credit on printed material, advertisements, and/or a link on the Client’s website. This will be done in a manner that is tasteful and the sizing of the credit will be at the discretion of Banter Marketo.
Confidentiality
All communications and documents exchanged between Banter Marketo and the Client will be treated as confidential unless permission has been granted by both parties to share specific information.
Revisions to These Terms
Banter Marketo reserves the right to revise, amend, or modify these Terms and any other policies and agreements at any time and in any manner. Notice of any revision, amendment, or modification will be posted on our website and/or sent to Clients via email.
Entire Understanding
These terms and conditions constitute the sole agreement between Banter Marketo and the Client regarding this project. This agreement becomes effective immediately upon the engagement of services from Banter Marketo or the signing of this agreement.
Jurisdiction and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where Banter Marketo is located. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of this jurisdiction.
Acceptance of Terms
By signing this agreement, clicking “I agree” on our digital platform, or by continuing to engage with Banter Marketo for services after receiving these terms, the Client acknowledges they have read, understood, and agreed to be bound by these terms.
